Planting Empowerment Inc., (Planting Empowerment, PE) offers investment (Investments) in the Planting Empowerment Adelante S.A. (Adelante, Adelante Project) holding company.
Planting Empowerment declares that each hectare (2.47 acres) of the Adelante Project has been reforested with 1,111 trees, in accordance with Panama Law No. 24 of November 23, 1992 and Executive Decree No. 89 of June 8, 1993. Approximately 70% of these trees are mixed native species, and the remainder is teak.
PE has supplied all legal requirements to allow it to sell Investments to third parties (Investors, Buyers), without restriction.
The Investor acquires equity in the Adelante Project proportionate to his Investment amount, according to the Investment Terms sections of the Planting Empowerment S.A. Adelante Prospectus (Prospectus) supplied on www.plantingempowerment.com.
Purchase of Investments

The Investor purchases an Investment from Planting Empowerment, as indicated in the Adelante Prospectus. This purchase may be through www.plantingempowerment.com, or through a personal transaction with one of PE's partners.

The Investor performs due diligence on the Investment before purchasing and understands the characteristics of the Investment

PE shall invoice the full amount of the Investment upon the Investor's purchase. The purchase price will be paid to Planting Empowerment, Inc.
The Adelante Project

The Investor understands all characteristics of the Adelante Project, as supplied in the Prospectus, and will have no management of the Adelante Project.
Right, Responsibilities and Obligations

Investors shall receive updates at least once per calendar year. The updates will report price data and any news regarding the growth of the trees, including percentage loss to disease or other factors.

Planting Empowerment will offer Investor trips to Panama no less than twice per calendar year. Investors will be accompanied by one of PE's employees and will cover all personal expenses incurred for such a trip.

Planting Empowerment will maximize financial return to Investors while at the same time maximize the social and environmental returns too.
Payment of Investments
- Planting Empowerment will manage returns from the Investments in order to minimize the tax liability of Investors. After receiving payment for timber harvested from the respective plantations, Planting Empowerment will distribute the proceeds to Investors no later than three months after receipt of the sale. These distributions will have the characteristics detailed in the Prospectus.
Severability
- If, for any reason Planting Empowerment, as the manager of the plantations, falls into bankruptcy or is otherwise unable to continue management of the Adelante Project, Investors will choose new management of Adelante and retain ownership over their proportion of equity in the Adelante Project.
Compliance with the Subscription Agreement
- The Investor acknowledges and confirms receipt of this Subscription Agreement. Upon completing his purchase on www.plantingempowerment.com, the Investor agrees to be bound by all obligations and characteristics of the Adelante Project or Investment and its relation to Planting Empowerment, Inc., as detailed in the Prospectus and Subscription Agreement.
